The task of the Board of Directors of banks has progressively expanded and become more complex; as a result, the issues on which the Board and management discuss have increased. The Board must be able to develop, in a constructive way, in the designated places, and within a relationship characterized by collaboration and trust, the challenge towards management. Essential conditions for this to happen are the understanding and respect of the different roles, the presence of directors with adequate skills and professionalism and truly independent, the availability and openness to dialogue of the management. The Chairman has an essential role in ensuring that the conditions for an effective and constructive challenge, oriented towards the continuous verification over time of the pursuit of the objectives of the strategic plan, materialize.
